1. Acceptance of Terms
By accessing or using any BroLabel service, website, API, or product (collectively, the "Services"), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our Services. These Terms constitute a legally binding agreement between you and BroLabel OÜ, registered in Estonia.
2. Service Description
BroLabel provides a suite of financial infrastructure services for businesses:
BROsettlement API: An API-first MPC custody and embedded wallet infrastructure supporting 100+ blockchains. Designed for exchanges, neobanks, and payment processors requiring non-custodial asset management with a polymorphic fee engine.
BROwallet: A consumer-facing crypto wallet available on Telegram, web, and mobile. Supports buying, selling, and exchanging crypto assets with fiat on/off-ramp via card and bank transfer.
BROcard: A white-label Mastercard program enabling businesses to issue physical and virtual crypto-funded cards. Compatible with Apple Pay and Google Pay, accepted at 90M+ merchants worldwide.
3. User Obligations
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not use our Services:
Legal use only: You shall not use our Services in any way that violates applicable local, national, or international laws or regulations.
No money laundering: You must not use BroLabel services to launder money, finance terrorism, evade sanctions, or otherwise engage in illegal financial activity. All transactions are subject to AML/CFT screening.
Accurate information: You agree to provide accurate, current, and complete information during registration and KYC/KYB verification. Providing false information is grounds for immediate termination of access.
4. API Usage
Access to the BROsettlement API is subject to additional API Terms agreed upon in your service contract. The following general conditions apply:
Rate limits: API requests are subject to rate limits specified in your service agreement. Exceeding limits may result in temporary throttling or suspension of API access.
Authentication: You are responsible for maintaining the security of your Ed25519 API keys and credentials. Any activity under your credentials is your responsibility. Keys must be rotated regularly and must not be shared or embedded in client-side code.
Fair use: The API must not be used for automated scraping, denial-of-service attacks, unauthorized data collection, or any use that unreasonably burdens our infrastructure.
5. Intellectual Property
All content, software, APIs, trademarks, logos, and documentation provided by BroLabel are the exclusive property of BroLabel OÜ or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from our Services without express written permission. Use of the BroLabel brand or logos requires prior written consent.
6. Limitation of Liability
To the maximum extent permitted by applicable law, BroLabel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of cryptocurrency assets, or business interruption.
Our total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to BroLabel in the twelve (12) months preceding the event giving rise to the claim.
7. Termination
BroLabel reserves the right to suspend or terminate your access to the Services immediately, without notice, if you violate these Terms or applicable law. Upon termination, your right to use the Services ceases immediately.
You may terminate your account at any time by contacting us at legal@brolabel.io. Data retention obligations following termination are governed by our Privacy Policy.
8. Governing Law
These Terms are governed by the laws of the Republic of Estonia and, where applicable, European Union regulations including the Markets in Crypto-Assets Regulation (MiCA). Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia, unless otherwise agreed in your service contract.
